General Terms and Conditions (Terms of Service)

GEO Audit – Last updated: September 16, 2026

Section 1 Scope

1.1 These General Terms and Conditions (hereinafter “Terms”) apply to all agreements between Niklas Hass, owner of Webnity X (sole proprietorship, hereinafter “Provider”), and users of the GEO Audit software-as-a-service platform (hereinafter “Service”), accessible at geo-audit.io and app.geo-audit.io.

1.2 The Service is intended for business customers as defined in Section 14 of the German Civil Code (BGB) (agencies, freelancers, self-employed professionals, and companies). Use by consumers as defined in Section 13 BGB is not intended. If, in an individual case, a consumer nonetheless becomes a contracting party, the Right of Withdrawal Notice in Section 8 also applies.

1.3 Any deviating or additional terms of the user do not become part of the agreement unless the Provider expressly agrees to them in text form.

Section 3 Description of services

3.1 GEO Audit is a web-based software platform for analyzing the visibility of domains and brands in AI-powered search and answer systems (Generative Engine Optimization, GEO). The platform enables, in particular:

3.2 The range of features depends on the selected plan (see Section 5). The applicable scope of services is that specified on the platform at the time of purchase. The Provider reserves the right to develop, extend, or modify the Service provided that the contractually agreed core services are not materially restricted.

3.3 The analyses are based on outputs from external AI systems. These outputs are nondeterministic and may change at any time. Results represent snapshots at a particular point in time. The Provider is obligated to perform the analysis, not to produce any particular analysis result or achieve a specific visibility or ranking outcome.

3.4 The Service is provided as a SaaS solution. No right to receive the source code exists.

Section 4 Registration and user accounts

4.1 Registration is required to use the Service. You can sign in using an email address and password or the optional Google sign-in. Registration is free.

4.2 The user must provide accurate information and keep it up to date.

4.3 The user is responsible for keeping login credentials confidential and is liable for all activity occurring under the account.

4.4 Each person may create only one primary account. Sharing login credentials with third parties outside one’s own team is prohibited.

4.5 The Provider reserves the right to suspend or delete accounts where there is reasonable suspicion of misuse, particularly attempts to circumvent the usage limits of the Free plan.

Section 5 Plans and formation of the agreement

5.1 The Service is offered under a free plan and paid subscription plans. The currently applicable features, scope of services, and domain and usage limits are set out in the pricing overview on the platform.

5.2 Overview of plans:

5.3 An agreement for a paid plan is formed when the user selects a subscription, completes checkout, and payment is successfully processed through Stripe.

5.4 The Free plan runs indefinitely and does not require separate cancellation. When downgrading, stored data is retained within the limits of the lower-tier plan. No prorated refund of amounts already paid will be issued.

Section 6 Pricing and payment

6.1 All stated prices are final prices in euros. Pursuant to Section 19 of the German VAT Act (UStG) (small-business provision), no VAT is charged or shown.

6.2 Paid subscriptions are billed monthly in advance, beginning on the date the agreement is concluded. For example, if a subscription starts on the 5th of a month, the next payment is due on the 5th of the following month.

6.3 Payment is processed exclusively through the payment provider Stripe. Stripe’s terms (stripe.com/de/legal) also apply.

6.4 If a payment fails, the Provider reserves the right to suspend access to the paid Service until the outstanding amount has been settled.

6.5 Invoices are made available to the user following successful payment by email or through the customer portal.

Section 7 Term and cancellation

7.1 Paid subscriptions are entered into on a monthly basis and renew automatically for successive one-month terms unless canceled in time.

7.2 The user may cancel the subscription at any time, effective at the end of the current billing period, in particular through the customer portal in the account settings.

7.3 Following cancellation, the subscription continues until the end of the period already paid for. No prorated refund is issued for unused time.

7.4 The Provider may terminate the agreement for good cause without notice, particularly for a material breach of these Terms, misuse, use for unlawful purposes, or persistent payment failure.

7.5 The user may delete their account at any time. Subsequent handling of data is governed by the Privacy Policy.

Section 8 Consumer right of withdrawal

8.1 If, exceptionally, the user is a consumer within the meaning of Section 13 BGB, the user has a statutory right of withdrawal.

Right of Withdrawal Notice:

You have the right to withdraw from this agreement within fourteen days without giving any reason. The withdrawal period is fourteen days from the date on which the agreement is concluded. To exercise your right of withdrawal, you must inform us (Niklas Hass, Webnity X, Dechant-Heinrich-Meurers-Str. 27, 50129 Bergheim, email: support@geo-audit.io) of your decision to withdraw from this agreement by an unequivocal statement (for example, by email). To meet the withdrawal deadline, it is sufficient to send your communication concerning the exercise of the right of withdrawal before the withdrawal period expires.

Effects of withdrawal: If you withdraw from this agreement, we will reimburse all payments received from you without undue delay, and no later than fourteen days after the day on which we receive notice of your withdrawal.

8.2 Early expiration of the right of withdrawal: For an agreement to provide digital content or digital services, the right of withdrawal expires if the user expressly agrees to performance beginning before the end of the withdrawal period and confirms their understanding that, by giving such consent, they lose their right of withdrawal once performance begins.

Section 9 User obligations and restrictions

9.1 The user agrees to use the Service only in accordance with applicable law.

9.2 The user may not use the Service to:

9.3 Violations of Section 9 entitle the Provider to suspend the account immediately without any right to a refund.

Section 10 Availability

10.1 The Provider endeavors to maintain high availability of the Service. Exceptions include scheduled maintenance windows and outages caused by circumstances outside the Provider’s control, particularly those involving third-party providers such as Hetzner, Stripe, OpenAI, Anthropic, Google, Perplexity, or DataForSEO.

10.2 Where possible, users will be notified in advance of scheduled maintenance.

Section 11 Limitation of liability

11.1 The Provider is liable without limitation for damages arising from injury to life, body, or health, and for damages caused by intent or gross negligence.

11.2 In cases of slight negligence involving the breach of material contractual obligations (obligations whose fulfillment is essential to the proper performance of the agreement and on which the user may regularly rely), liability is limited to the damages typically foreseeable at the time the agreement was concluded.

11.3 Otherwise, liability for damage caused by slight negligence is excluded.

11.4 In particular, the Provider assumes no liability for the following, unless caused by intent or gross negligence:

11.5 The above limitations of liability also apply for the benefit of the Provider’s agents and subcontractors.

Section 12 Data protection

12.1 Personal data is collected and processed in accordance with the Privacy Policy, available at geo-audit.io/datenschutz.

12.2 The user is responsible for ensuring the lawful processing of data that the user processes through the Service.

Section 13 Changes to the Terms and prices

13.1 The Provider reserves the right to amend these Terms with 30 days’ notice by email. If the user does not object within that period, the amended Terms will be deemed accepted. The notice will separately explain the right to object and the consequences of not objecting.

13.2 Price changes affecting existing subscriptions will be announced 30 days in advance. The user may cancel the subscription before the price change takes effect.

13.3 Changes that operate solely to the benefit of the user may take effect without notice.

Section 14 Final provisions

14.1 The laws of the Federal Republic of Germany apply, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). Mandatory consumer protection laws of the country in which a consumer habitually resides remain unaffected.

14.2 The exclusive place of jurisdiction for all disputes is Bergheim, provided that the user is a merchant, a legal entity under public law, or a special fund under public law.

14.3 Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions remains unaffected.

14.4 There are no oral side agreements. Amendments must be made in text form.
